1. Interpretation and Definitions
Interpretation
Words with initial capital letters have meanings defined under the following conditions. These definitions apply whether terms appear in singular or plural form.

Definitions
For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares or equity interest entitled to vote for election of directors or other managing authority.
Company (referred to as “Classic AI Group,” “We,” “Us,” or “Our”) refers to Classic AI Group, LLC, 4539 N. 22nd St., Suite N, Phoenix, AZ 85016.
Country refers to Arizona, United States.
Device means any device capable of accessing the Service, such as a computer, smartphone, or tablet.
Service refers to the Classic AI Group website (classicaigroup.com) and all associated business mentorship, coaching, and FRAP Chapter services.
Terms and Conditions (also referred to as “Terms”) means these Terms and Conditions, forming the entire agreement between You and Classic AI Group regarding use of the Service.
Third-party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available through the Service.
Website refers to the Classic AI Group website, accessible at classicaigroup.com.
You means the individual accessing or using the Service, or the company or other legal entity on whose behalf such individual is accessing or using the Service, as applicable.

2. Acknowledgment
These Terms and Conditions govern your use of the Classic AI Group website and services and represent the full agreement between You and Classic AI Group. By accessing or using the Service, you agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms, you may not access the Service.
You represent that you are over the age of 18. Classic AI Group does not permit individuals under 18 to use the Service or enter into service engagements.
Your access to and use of the Service is also conditioned on your acceptance of our Privacy Policy, which describes how we collect, use, and protect your personal information. Please read our Privacy Policy carefully before using our Service.

3. SMS and Text Messaging Terms (A2P Compliance)
By submitting your phone number through any form on our website, including discovery call scheduling forms and FRAP Chapter application forms, you expressly consent to receive SMS text messages from Classic AI Group at the number provided. Consent is not a condition of purchase or engagement. These messages may include:
Discovery call confirmations and reminders
Engagement scheduling and follow-up communications
FRAP Chapter session reminders and updates
Service-related announcements and information
Transactional notifications related to your active engagement or membership

Message frequency will vary based on your engagement status. Standard message and data rates may apply depending on your mobile carrier and plan.
You may opt out of SMS communications at any time by replying STOP to any text message from Classic AI Group. After opting out, you will receive one final confirmation message and no further SMS communications unless you re-enroll. To re-enroll at any time, reply START. To pause messages temporarily, reply PAUSE where supported by your carrier.
Classic AI Group participates in Application-to-Person (A2P) 10DLC messaging as required by major U.S. carriers. Our messaging campaigns are registered in compliance with carrier requirements and The Campaign Registry (TCR) standards. We reserve the right to expand, modify, or add additional registered messaging use cases in the future in compliance with applicable carrier and regulatory requirements at that time. Any material change to the nature of messages sent will be communicated to you in advance.

Classic AI Group does not sell, rent, or share mobile phone numbers or SMS consent data with third parties or affiliates for their own marketing purposes. Mobile opt-in data and consent are never shared for marketing use. Your phone number is used solely to deliver the communications described above and to comply with applicable legal and carrier requirements. Classic AI Group retains SMS consent records as required for compliance purposes.

4. Service Engagement Terms
Classic AI Group Full Mentorship Engagement
Engagement in the Classic AI Group full mentorship program is subject to a separate written agreement between Classic AI Group and the client. Pricing is custom and discussed during the discovery call. By proceeding with a full engagement, you agree to the terms outlined in that written agreement, which is incorporated into these Terms by reference.

The FRAP Chapter
Membership in The FRAP Chapter is subject to the following terms:
Initiation Investment: Up to $2,399 one-time, due upon membership confirmation.
Monthly Investment: $399.99 per month, billed on a recurring basis. No long-term contract required.
Cancellation: Members may cancel monthly membership with 45 days written notice. Initiation fees are non-refundable.
Attendance: The FRAP Chapter meets bi-weekly in person in South Scottsdale. No virtual attendance option is available. Consistent attendance is expected as a condition of membership.
Eligibility: Membership requires annual business revenue of $250,000 or more. Classic AI Group reserves the right to verify eligibility and decline membership at its sole discretion.
Group Size: Membership is capped at 30 members from unique service disciplines. Classic AI Group reserves the right to manage group composition to preserve the quality and accountability of the community.

Discovery Calls
Discovery calls are offered at no cost and carry no obligation. Classic AI Group reserves the right to decline an engagement for any reason following the discovery call. A discovery call does not constitute a contract or commitment on either party’s part.

5. Intellectual Property
The Classic AI Group name, logo, website content, methodology (including the FRAP framework as implemented by Classic AI Group), and all associated materials are the intellectual property of Classic AI Group, LLC. You may not reproduce, distribute, modify, or create derivative works from any Classic AI Group content without express written permission.

6. Links to Other Websites
Our Service may contain links to third-party websites not owned or controlled by Classic AI Group. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. We strongly advise reviewing the terms and conditions and privacy policies of any third-party sites you visit.

7. Confidentiality
Classic AI Group treats all client business information, financial data, and engagement-specific details as confidential. We do not share identifying client information publicly without written consent. Client stories published on our website are shared with the knowledge and approval of the individual client. Classic AI Group expects the same standard of confidentiality from clients with respect to any proprietary methodologies, materials, or frameworks shared during engagements.

8. Termination
Classic AI Group reserves the right to terminate or suspend your access to our website or services immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions. Upon termination, your right to use the Service ceases immediately. Termination of website access does not affect obligations under any separate written service agreement.

9. Limitation of Liability
To the maximum extent permitted by applicable law, the total liability of Classic AI Group and its principals under any provision of these Terms, for any cause of action, shall be limited to the amount actually paid by You to Classic AI Group in the three (3) months immediately preceding the claim.
In no event shall Classic AI Group or its principals be liable for any special, incidental, indirect, or consequential damages whatsoever, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages.
Business mentorship and coaching services are advisory in nature. Classic AI Group does not guarantee specific business outcomes, revenue results, or profit margins. Results described on our website represent the experiences of specific clients and are not a guarantee of future performance.

10. “AS IS” and “AS AVAILABLE” Disclaimer
The Classic AI Group website is provided to You on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied. Classic AI Group expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no representation that the website will be uninterrupted, error-free, or free of harmful components. Use of the website is at your own risk.

11. Governing Law
Classic AI Group operates as an interstate commerce business serving clients in all fifty states. These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. However, to the extent applicable federal law or the law of the state in which you reside provides you with additional consumer protections, those protections are not waived by these Terms. Any disputes arising under these Terms that are not resolved informally pursuant to Section 12 shall be subject to the jurisdiction of the courts located in Maricopa County, Arizona, unless otherwise required by applicable law in your state of residence.

12. Dispute Resolution
If you have a concern or dispute regarding the Service, you agree to first attempt to resolve the matter informally by contacting Classic AI Group directly at the contact information listed in Section 15. Classic AI Group will make reasonable efforts to resolve disputes in good faith within a reasonable timeframe before either party pursues formal legal action.

13. Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to accomplish its original intent to the greatest extent possible under applicable law. The remaining provisions will continue in full force and effect.

Waiver
Failure by Classic AI Group to exercise any right or require performance of any obligation under these Terms shall not constitute a waiver of that right or obligation. A waiver of any breach shall not constitute a waiver of any subsequent breach.

14. Changes to These Terms and Conditions
Classic AI Group reserves the right to modify these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice before new terms take effect, either by email or via a prominent notice on our website. What constitutes a material change is determined at Classic AI Group’s sole discretion.
By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you should discontinue use of the Service.

15. United States Legal Compliance
You represent and warrant that you are not located in a country subject to a United States government embargo or designated as a terrorist-supporting country, and that you are not listed on any United States government list of prohibited or restricted parties.
